These Terms & Conditions (“Terms”) govern your use of the website and related pages operated by Thermometrics Corporation (“Thermometrics”, “we”, “us” or “our”), including thermometricscorp.com and associated RFQ, contact and scheduling pages (collectively, the “Site”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site.

1. Business and Professional Use

The Site is intended primarily for business and professional users such as engineers, buyers and other industrial, commercial or institutional customers. By using the Site, you represent that you are using it in a business or professional capacity or otherwise have legal authority to enter into these Terms.

2. Use of the Site

You agree that you will not use the Site in any way that:

  • Violates any applicable law, regulation or third-party right.
  • Attempts to gain unauthorized access to systems, data or accounts.
  • Interferes with or disrupts the operation or security of the Site.
  • Introduces malware, viruses or other harmful code.
  • Misrepresents your identity or your affiliation with any person or entity.

We may suspend or restrict access to the Site at any time, without notice, if we believe that you have violated these Terms or if necessary to protect the Site, our business or other users.

3. Informational Content / No Engineering Guarantee

The content on the Site is provided for general informational purposes and to facilitate RFQs and business discussions. While we take care in preparing product descriptions and technical information, all such content is provided “as is” and may not reflect the latest revisions, standards or application-specific considerations.

You are responsible for validating that any product, configuration or design is suitable for your intended use and complies with applicable safety, regulatory and industry requirements. Final sensor selection, installation and use should be made by qualified personnel with appropriate engineering judgment.

4. Quotes, Orders and Pricing

Use of the Site or submission of RFQs does not, by itself, create a binding contract. Any quotes we issue (whether through the Site, email or other channels) may be subject to additional terms and conditions, including quality requirements, delivery schedules, pricing, payment terms and other commercial conditions.

Unless expressly stated otherwise in a written quotation or order acknowledgment from Thermometrics, quotes are:

  • Subject to change without notice.
  • Not an offer to sell until accepted by Thermometrics in writing.
  • Potentially subject to minimum order quantities, setup charges or other conditions.

In the event of a conflict between these Site Terms and the terms of a written quotation, purchase agreement or other signed contract between you and Thermometrics, the signed contract or quotation terms will control for that transaction.

5. Intellectual Property

The Site and its content, including text, graphics, logos, images, icons and software, are owned by Thermometrics or its licensors and are protected by intellectual property laws. You may view, download and print content from the Site for your internal business purposes in connection with evaluating or using Thermometrics products or services.

You may not, without our prior written consent:

  • Modify, copy, reproduce or distribute Site content for resale or public posting.
  • Use any logo, trademark or trade name of Thermometrics in a way that implies endorsement or affiliation.
  • Frame or mirror any part of the Site on other websites.

6. User Submissions

If you submit information through the Site (for example RFQ details, drawings, specifications, feedback or questions), you are responsible for ensuring that you have the necessary rights to share that information with us for the purposes you intend.

You grant Thermometrics a non-exclusive, worldwide, royalty-free license to use such information as reasonably necessary to evaluate and respond to your RFQ, provide products or services, and operate our business (including quality and process improvements). We will handle personal information in accordance with our Privacy Policy.

7. Third-Party Services and Links

The Site may contain links or integrations with third-party services, such as mapping tools or scheduling services (for example, Microsoft Bookings). These services are operated by third parties and have their own terms and privacy policies.

Thermometrics is not responsible for the content, security or practices of third-party sites or services. Your use of those services is at your own risk and subject to the terms and policies of the relevant provider.

8. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that the Site will be uninterrupted, timely, secure or error-free, or that any defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THERMOMETRICS AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT ANY LIABILITY IS FOUND NOT TO BE EXCLUDED, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

10. Indemnification

You agree to indemnify, defend and hold harmless Thermometrics and its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Site or your violation of these Terms.

11. Changes to the Site and Terms

We may update or modify the Site at any time, including adding or removing features or content. We may also update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Your continued use of the Site after any changes become effective constitutes your acceptance of the revised Terms.

12. Governing Law and Jurisdiction

These Terms and your use of the Site are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. Any disputes arising out of or relating to the Site or these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.
